1. Acceptance of Terms

By creating an account or using ThreadM ("the Platform"), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, you must not use ThreadM. These terms apply to all users including buyers, suppliers, and administrators.

2. Platform Description

ThreadM is a B2B marketplace connecting buyers (retailers, boutique owners, resellers) with suppliers (manufacturers, wholesalers) in India's women's ethnic wear industry. ThreadM facilitates discovery, product listing, and enquiries. ThreadM is not a party to any transaction, agreement, or payment between buyers and suppliers.

3. Eligibility and Accounts

• You must be at least 18 years old and have the legal capacity to enter into binding agreements
• You must provide accurate, complete, and current information when registering
• You are solely responsible for maintaining the confidentiality of your account credentials
• Supplier accounts require admin review and approval before products are published
• Only one account is permitted per person or registered business entity
• You must notify us immediately at support@threadm.in if you suspect unauthorised access to your account

4. Supplier Obligations

• All product listings must be accurate, genuine, and legally sellable in India
• Product photos must represent the actual product being offered for sale
• Pricing, MOQ, availability, and delivery information must be kept current and accurate
• Suppliers must respond to buyer enquiries honestly and in good faith
• The GST number provided must be valid, active, and registered to your business
• Counterfeit, imitation, or intellectual property-infringing products are strictly prohibited and will result in immediate account suspension and reporting to relevant authorities

5. Buyer Obligations

• Enquiries must represent genuine business intent — spam, solicitation, or non-commercial enquiries are prohibited
• You must not share supplier contact information obtained through ThreadM with third parties without the supplier's explicit consent
• Misrepresenting your business, scale, or purchasing intent when making enquiries is prohibited

6. Prohibited Activities

The following are strictly prohibited on ThreadM and may result in immediate account termination:

• Posting false, misleading, or fraudulent information about yourself, your business, or your products
• Circumventing the platform to conduct transactions outside ThreadM in order to avoid platform terms
• Scraping, copying, or redistributing platform content, listings, or user data without authorisation
• Attempting to hack, probe, disrupt, or damage the platform or its infrastructure
• Using AI tools, automation, or bots for spam, abuse, or any unlawful purpose
• Creating multiple accounts to evade account restrictions, suspensions, or bans
• Harassing, threatening, or abusing other users of the platform

7. Intellectual Property

All platform content — including design, code, branding, AI tools, and ThreadM-generated content — is owned by or licensed to ThreadM and is protected by applicable intellectual property laws. Suppliers retain full ownership of their product photos and descriptions but grant ThreadM a non-exclusive, royalty-free licence to display, reproduce, and distribute this content on the platform and in marketing materials for the purpose of operating the marketplace.

8. Limitation of Liability

ThreadM is a marketplace platform and intermediary. We are not responsible for the quality, safety, legality, or accuracy of products listed; for disputes between buyers and suppliers; for delivery, fulfilment, or payment matters conducted outside the platform; or for any losses arising from user-to-user transactions.

To the maximum extent permitted by applicable Indian law, ThreadM's total liability to any user for any claim arising out of or relating to these terms shall not exceed the amount, if any, paid by that user to ThreadM in the twelve months preceding the claim.

9. Account Suspension and Termination

ThreadM reserves the right to suspend or permanently terminate any account that violates these terms, engages in fraudulent or abusive activity, or causes harm to other users or the platform. Where reasonably practicable, we will provide at least 7 days' written notice before termination, except in cases of serious violations (fraud, illegal activity, immediate security risk) where immediate action may be taken without prior notice.

If you believe your account was suspended in error, you may appeal by contacting us at support@threadm.in. We will review and respond to all appeals within 14 business days.

You may delete your own account at any time from your account settings.

10. Dispute Resolution

If you have a complaint or dispute regarding your use of ThreadM, please contact us first at support@threadm.in. We are committed to resolving complaints fairly and promptly, typically within 14 business days.

For disputes between buyers and suppliers that ThreadM is asked to mediate, we will review the matter and provide a recommendation in good faith, though our role as an intermediary means we are not bound to enforce outcomes between private parties.

If a dispute cannot be resolved through direct communication, the parties agree to attempt resolution through mediation before pursuing litigation.

11. Force Majeure

ThreadM shall not be held liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, government actions, internet or infrastructure outages, third-party service failures, or other events outside our control.

12. Changes to These Terms

We may update these Terms of Use from time to time. When we make material changes, we will notify registered users by email at least 14 days before the changes take effect. Continued use of ThreadM after the effective date constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the platform and may delete your account.

13. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of India, including the Information Technology Act 2000, Consumer Protection Act 2019, and applicable E-Commerce Rules. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of courts in India.
